今回もニュースになっていたスカイマークの100%減資について簡単に説明します。

そもそも100%減資とは？

100%減資という言葉も、委員会設置会社と同様に中々、耳にしない言葉だと思います。専門職でも再生案件などにかかわっていないと、なかなか実務で遭遇することはないはず。

さて、この100%減資というのは、簡単に言うと、既存の株主とスポンサーなどの新しい株主を入れ替える方法のことです。

減資と言うと、基本的には、資本金の減少をイメージすることが多いと思います。ただ100％減資の場合には、必ずしも、資本金が減少するとは限りません。この点は誤解しやすいところです。

100％減資について記載した他のBlogなどを拝見すると、100％減資をする場合には、必然的に資本金が減少するような記載がありますが、必ずしも資本金が減少するわけではないのです。

ちなみに著名な弁護士が執筆した100％減資についての説明を見ると

100％減資とは、株式会社の既存の全株主を株主でなくしたうえで、新しい出資者に出資させること

と記載しています。

100%減資をもっと詳しく

100％減資を実施する際には、全部取得条項付種類株式という株式を利用します。

この全部取得条項付種類株式というのは、簡単に言うと、会社の意思で、株主から株式を取り上げることができる株式です。会社から株式を取り上げられると、取り上げられた株主は株主ではなくなります。

また、これと同時に、新しい株式の発行などをします。新しい株式を発行したり、自己株式を処分すれば、これを取得した者が新たな株主になります。

こうすれば既存の株主と新しい株主が入れ替わります。

これが100％減資の基本的な仕組みです。

100%減資のメリット

100%減資の最大のメリットは、株主が入れ替わるため、既存の株主が経営に関与することを回避できる点、すなわち既存の株主が経営に口出しすることを防止できる点、反面、スポンサーなどの新株主が思ふ存分経営手腕を発揮できるため、結果として経営スピードが上がる点にあると思います。

100%減資は、事業再生の場面でニュースになることが圧倒的に多いですが、事業承継など、事業再生以外の場面でも利用することがあります。
